Any order of products and/or services implies unreserved acceptance of these general terms of sale, supplemented or amended by our special conditions, which cancel any clause to the contrary that may appear in the conditions of purchase, order forms or other commercial documents.
The goods and/or services are invoiced at the rate in force on the day the order is placed. General price lists are available on request from: contact@zoreole.com.
Delivery shall be made either by direct handover of the product to the Buyer or by delivery to a shipper or carrier at the Seller's premises or at any other designated premises. The verification of the goods by the buyer must be carried out at the time of their taking in charge. In the event of damage or shortage, complaints about apparent defects or non-conformity of the product delivered, the buyer shall make clear and precise reservations that he shall notify within three days, following the date of delivery, in writing to the seller or the carrier.It will be up to the buyer to provide any justification as to the reality of the anomalies noted.
The delivery times are indicated according to the availability of supplies. Except in cases of force majeure (war, riot, fire, total or partial strike), in the event of a delay in delivery lasting more than seven days after the indicative delivery date, the buyer will have the option of cancelling his order, without being able to claim any compensation. This period may be extended for delivery outside France, depending on the formalities of the destination country.
All services must be approved and signed by the client and Zoréole Services before the service can begin. The service may not take place more than six months after the signature of this quote. Any overrun in the service schedule that is not the fault of Zoreole Services (delayed deployment of the equipment/networks to be tested, prolonged configuration of the equipment/networks to be tested) may result in anew estimate.
Any product return must be formally agreed between the seller and the buyer.
The Seller shall take the utmost care in the execution of the order and in the quality of the products/services. In the event of a defect recognized by the Seller, theSeller's obligation shall be limited to the replacement or reimbursement of the defective quantities, without further compensation. Defects and damage resulting from storage, handling, transport or use under normal conditions or conditions not in accordance with the nature, requirements or suitability for use of the product are excluded from the warranty.
Unless otherwise agreed, invoices are payable within thirty days from the date of delivery. In the event of late payment, the seller may suspend all outstanding orders. Any sum not paid by the due date indicated on the invoice shall automatically entail the application of penalties equal to three times the legal interest. These penalties will be payable on simple request of the salesman. No discount is granted for early payment. No discount is granted for cash payment.
If the customer fails to comply with these General Terms and Conditions of Sale, we shall be entitled either to pursue the execution of the contract in court, or to send our customer a formal notice by registered letter with acknowledgement of receipt mentioning our intention to invoke the cancellation clause. The sale will be automatically cancelled if, three days after reception, our letter has remained without effect. Moreover, the company Zoreole Services reserves the right to claim damages from the defaulting customer.
The sold goods remain the property of the seller until the complete payment of their price. However, the risks related to the goods will be transferred to the buyer or to the carrier, as soon as the products are physically handed over.
The present conditions cancel and replace the previously applicable general conditions. Any dispute relating to the present conditions will be under the jurisdiction of the Commercial Court of Pontoise.
